French building materials group Saint-Gobain agreed to acquire ASX-listed CSR Limited for A$9.00 cash per share via a scheme of arrangement, reported at a deal value of around A$4.3-4.5 billion, to establish a leading position in light and sustainable construction materials in Australia.

Why the buyer wanted it

Saint-Gobain said the acquisition would give it a strong platform and iconic brands in the Australian building products market and strengthen its presence in the Asia-Pacific region.

Why the seller agreed

CSR's board unanimously recommended the offer, which represented a roughly 33% premium to CSR's undisturbed closing price, as delivering certain, immediate cash value to shareholders.

Stock reaction

CSR shares jumped sharply on news of the approach and confirmed bid in February 2024, trading up toward the offer price.
